Yes. Heron supplies the MoD with components used for defence purposes, which brings it within the defence schedule of the Notifiable Acquisition Regulations.¹ Lomond is buying all of Heron’s shares, so this is a notifiable acquisition and Lomond must notify before completing.² Completing without approval would make the acquisition void and would be a criminal offence.³ Clause 4.2 of the SPA already makes completion conditional on clearance.⁴

Argued the other sideFrontier B argued that Heron’s MoD work might not be for defence purposes. Schedule 2 of the MoD contract shows the components are fitted to armoured vehicles, so the answer stands.
